These Terms and Conditions (“Terms”) govern access to and use of the website, payment services, platforms, and related solutions (collectively, the “Services”) provided by NetCommerce S.A.L. (“NetCommerce”, “we”, “our”, or “us”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.


1. Scope of Services

NetCommerce provides payment gateway and related services that facilitate the electronic submission of payment transactions to processing networks on behalf of merchants. NetCommerce does not act as the merchant of record and does not sell goods or services to end customers.


2. Eligibility and Account Registration

Use of NetCommerce Services is limited to legally registered businesses that have completed the required onboarding and approval process. Merchants must provide accurate, complete, and up-to-date information and promptly notify NetCommerce of any changes.

NetCommerce reserves the right to approve or reject any application at its sole discretion.


3. Merchant Obligations

Merchants agree to:

  • Use the Services only for lawful purposes

  • Comply with all applicable laws, regulations, card scheme rules, and network requirements

  • Obtain all required customer consents and authorizations

  • Ensure the security of their systems and access credentials

  • Not engage in prohibited, fraudulent, or high-risk activities

Merchants are solely responsible for the products or services they offer and for customer support related to such offerings.


4. Fees and Charges

Fees applicable to the Services will be outlined in a separate commercial agreement or fee schedule. NetCommerce may deduct applicable fees from settlement amounts as agreed. All fees are non-refundable unless expressly stated otherwise.


5. Transaction Processing

NetCommerce processes transactions based on instructions received from merchants and payment networks. Transaction approvals or declines are determined by issuing banks and card networks. NetCommerce does not guarantee that transactions will be authorized or completed.


6. Settlements

Settlement timing and methods are subject to the merchant agreement and applicable banking processes. NetCommerce is not responsible for delays caused by banks, payment networks, or force majeure events.


7. Chargebacks and Disputes

Merchants are fully responsible for managing customer disputes, refunds, and chargebacks. NetCommerce may provide tools and information to assist with dispute management but does not assume liability for chargebacks or associated fees.


8. Security and Compliance

NetCommerce applies security controls aligned with PCI-DSS standards to protect payment data. Merchants remain responsible for their own PCI-DSS compliance obligations, except where services are fully hosted by NetCommerce.


9. Intellectual Property

All intellectual property rights related to the Services, including software, documentation, trademarks, and content, are owned by or licensed to NetCommerce. Merchants are granted a limited, non-exclusive, non-transferable right to use the Services during the term of the agreement.


10. Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information received in connection with the Services and to use such information solely for the purposes of performing under these Terms.


11. Limitation of Liability

To the maximum extent permitted by law, NetCommerce shall not be liable for indirect, incidental, consequential, or punitive damages. NetCommerce’s total liability under these Terms shall not exceed the fees paid by the merchant to NetCommerce during the preceding twelve (12) months.


12. Indemnification

Merchants agree to indemnify and hold harmless NetCommerce from any claims, losses, damages, or expenses arising from:

  • Breach of these Terms

  • Violation of applicable laws or network rules

  • Merchant products, services, or customer disputes


13. Suspension and Termination

NetCommerce may suspend or terminate Services immediately if:

  • A merchant breaches these Terms

  • Fraudulent or high-risk activity is detected

  • Required by law, regulation, or payment networks

Merchants may terminate Services in accordance with their contractual agreement.


14. Force Majeure

NetCommerce shall not be liable for failure or delay in performance due to events beyond its reasonable control, including natural disasters, system outages, regulatory actions, or network failures.


15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Lebanon. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Lebanon.


16. Amendments

NetCommerce reserves the right to update these Terms at any time. Updated versions will be published on our website and will take effect upon posting unless otherwise stated.
